3. Client Responsibilities
Clients are responsible for providing accurate account access, timely feedback, and any content or assets required to deliver agreed services. Delays in providing these may affect project timelines.
4. Payment Terms
Fees for services are set out in the applicable proposal or invoice. Unless otherwise agreed in writing, invoices are payable within the timeframe stated on the invoice.
5. Marketplace Account Ownership
All marketplace accounts (including but not limited to Amazon, eBay, Walmart, Etsy, and TikTok Shop) remain the property of the client at all times. E10 Digital Ltd acts as a service provider managing these accounts on the client's behalf.
6. Intellectual Property
Upon full payment, clients own the final website, designs, and content created specifically for them, excluding any third-party tools, licensed assets, or E10 Digital Ltd's proprietary processes and methodologies.
7. Confidentiality
Both parties agree to keep confidential any non-public business information shared during the course of the engagement.
8. Limitation of Liability
E10 Digital Ltd will perform services with reasonable skill and care but does not guarantee specific sales results, marketplace approval outcomes, or search rankings, as these depend on factors outside our control.
9. Termination
Either party may terminate an ongoing services agreement in accordance with the notice period set out in the relevant proposal or contract.
10. Governing Law
These terms are governed by the laws of England and Wales, and any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
11. Changes to These Terms
We may update these terms from time to time. Continued use of our website or services after changes are posted constitutes acceptance of the updated terms.
